5.3. The Company's employees may benefit only from separate programmes such as staff discounts or consumer accounts, without being included in the direct sales compensation plan.
5.4. In the case of legal entity memberships, the legal entity must be duly incorporated, active and have representation authority; it must submit the necessary trade registry, tax and signature documents. The real person acting on behalf of the legal entity is obliged to document their representation authority.
5.5. More than one active direct seller account cannot be opened in the name of the same real person. It is prohibited for the same person to open accounts on behalf of others, control accounts, or allow the use of their identity or bank account.
5.6. Receipt of a membership application does not constitute automatic acceptance. The Company may reject applications with regard to which there is suspicion of age, identity, connection with prohibited persons, duplicate account, fraud, forged documents, sanctions risk or non-compliance with legislation, stating its reasons.
ARTICLE 6 — FREE PARTICIPATION AND PROHIBITION OF MANDATORY PACKAGES
6.1. Participation in the Naturzen direct sales system is free of charge.
6.2. No membership fee, entry fee, registration fee, renewal fee, training fee, digital panel fee, catalogue fee, mandatory deposit, package fee not containing products, mandatory monthly subscription, promissory note or similar financial obligation shall be requested from the Member in order to join the system, obtain a referral link, remain in the system, renew their agreement or maintain the basic direct selling right.
6.3. The Member's failure to purchase any product or Advantageous Product Basket shall not, by itself, constitute an obstacle to:
a. the opening of their membership account,
b. the allocation of a direct seller number,
c. obtaining a referral link,
ç. directing new Members to the system,
d. remaining in the system.
6.4. In the event that the Member is told "you must buy a package", "you cannot build a team without buying a package", "a referral link will not be opened without buying a package", "monthly product purchase is mandatory" or similar statements, they must immediately notify the Company.
6.5. The Company may, to the extent permitted by legislation, set conditions of actual product sales volume, customer orders, team sales volume or training/compliance for certain types of commission. However, such conditions cannot be applied in a manner that forces the Member to purchase unwanted products for stock purposes.
ARTICLE 7 — ADVANTAGEOUS PRODUCT BASKETS
7.1. Advantageous Product Baskets are optional promotional sales consisting solely of real products. They are not a membership fee, entry package, investment package or a means of purchasing earnings.
7.2. On the sales page of each Advantageous Product Basket, at least the following information shall be displayed:
a. the name and quantity of each product in the basket,
b. the current individual sales prices of the products,
c. the total sales price of the basket,
ç. the scope and duration of the discount applied,
d. product points,
e. delivery, withdrawal and return conditions,
f. where applicable, the duration, scope and expiry conditions of the promotional discount provided on subsequent purchases.
7.3. The purchase of an Advantageous Product Basket:
• does not automatically promote the Member to a higher direct seller level,
• does not create a bonus solely in return for registering new Members,
• is not a condition for the Member's account ownership or referral link,
• does not create a repeated or automatic purchase obligation,
• does not require the Member to stock products they do not want.
7.4. The Company may offer a product discount for a specific period to a Member who purchases an Advantageous Product Basket. Such a discount is a clearly defined sales promotion; it does not determine the Member's legal status, the continuation of membership or the right to commission based solely on person registration.
7.5. The products contained in the Advantageous Product Basket are recorded as separate product items for points and commission purposes. Point values at the time of the order are stored in the order record.
7.6. When purchasing an Advantageous Product Basket, the Member approves a separate Preliminary Information Form and, depending on the nature of the sale, the Distance Sales Agreement. This Agreement alone does not substitute for a product sales contract.
ARTICLE 8 — MEMBER NUMBER AND REFERRAL LINK
8.1. Each Member whose membership is approved is allocated a direct seller number, which may consist of a country code and a unique sequential number. Example format: TR0000123.
8.2. The referral link is personal. The Member may not:
a. use their link on misleading domain names,
b. imitate another Member's code,
c. manipulate redirection cookies or technical records,
ç. bind a customer to their own referral without the customer's knowledge,
d. generate fake traffic, bots, automatic clicks or incentivized fake registrations.
8.3. Sharing the referral link does not provide any earnings guarantee. Commission may arise only upon actual sale, an appropriate sponsor relationship, payment, delivery, completion of the withdrawal/return period and fulfilment of the other conditions in the Compensation Plan.
8.4. In every promotion and sales process intermediated as direct sales, the Member's direct seller number must be visible to the consumer.
8.5. The Member may use the referral link only in countries opened for activity by the Company and in accordance with the relevant Country Annex.
ARTICLE 9 — SPONSORSHIP RECORD AND SPONSOR CHANGE
9.1. The sponsor of a new Member is determined on the basis of the valid referral link/code used at the time of registration and the system records.
9.2. The Member is obliged to check the sponsor information displayed on the screen before completing the registration process. Claims of obvious technical error must be submitted to the support unit within [7] days of the registration date.
9.3. A sponsor change is not an ordinary right. A change may be made for reasons such as erroneous registration, personal data security, abuse, regulatory compliance, the sponsor leaving the system or other reasons objectively accepted by the Company.
9.4. A sponsor change shall not have retroactive effect. In order and commission records created before the change, the sponsor information at the time of the transaction shall be preserved. Appropriate transactions after the change shall be associated with the new sponsor.
9.5. A sponsor change cannot be used to create unearned earnings, transfer teams, or artificially alter depth or career conditions.
9.6. Each sponsor change is recorded in an auditable manner, together with the date, reason, previous sponsor, new sponsor and the authorized person carrying out the transaction.
ARTICLE 10 — LEGAL STATUS OF THE INDEPENDENT DIRECT SELLER
10.1. The Member carries out their activity independently. No employee-employer, work under instructions, fixed salary, working hours, workplace attachment or social security relationship is established between the Member and the Company.
10.2. The Member may not:
a. sign contracts on behalf of the Company,
b. place the Company under any obligation,
c. collect payments on behalf of the Company,
ç. make commitments on behalf of the Company regarding price, warranty or compensation,
d. present themselves as a Company employee, manager, official representative, health professional or authorized public official.
10.3. The Member determines the place and time of their activity themselves; there is no obligation to carry out activity or achieve a specific sales quota.
10.4. In the event that the Member acquires the status of merchant, craftsman, self-employed professional, taxpayer or any other legal status due to their regular and commercial-scale activity, the relevant registration, notification and payment obligations belong to the Member.
10.5. The Company's liability towards consumers arising from legislation is reserved. The independence provision in this Article does not eliminate the joint and several liability existing under law towards consumers.
ARTICLE 11 — SALES MODEL AND LIMITS OF AUTHORITY
11.1. The main sales model is that the order is placed by the consumer through the Company's official website or another Official Channel; the sales price is collected by the Company or an authorized payment institution; the invoice is issued by the Company and the product is shipped by the Company.
11.2. In this model, the Member is an independent direct seller who informs the consumer and intermediates in the Company's sale. Without the Company's written permission, the Member may not:
a. collect the product price or a deposit from the consumer,
b. issue invoices/receipts in their own name or in the Company's name,
c. arrange instalments, deferred payment or indebtedness on behalf of the Company,
ç. alter the product content, warranty, delivery or return conditions determined by the Company,
d. create an order without the consumer's explicit knowledge and consent.
11.3. Retail sales from stock or physical direct sales activities permitted in writing by the Company are subject to a separately published sales procedure and the rules of the consumer information form.
11.4. During a sale or sales intermediation to a consumer, the Member clearly states their identity, that they are an independent direct seller, their direct seller number and the Company's title.
11.5. Without the Company's written permission, the Member may not list products on third-party marketplaces, auction sites, bulk sales platforms, or physical sales points such as pharmacies or stores.
ARTICLE 12 — PRICES, DISCOUNTS AND PRODUCT INFORMATION
12.1. The Company displays product prices, promotions, taxes and delivery costs on the Official Channel prior to the order.
12.2. Multi-currency display may be for informational purposes. In sales in Turkey, the exact currency to be collected from the consumer, the total amount including tax and the exchange rate information are shown at the payment step.
12.3. The Member may not promise prices, discounts, free products, warranties or refunds that are not available on the Official Channel.
12.4. The Member may not use fictitious reference prices, fake discounts, "last product", "today only", "definite opportunity" or similar expressions that put the consumer under pressure.
12.5. The "recommended sales price" provided by the Company carries the function envisaged in legislation. In cases where the Member is permitted in writing to make sales on their own behalf, the mandatory provisions of competition law are reserved.
12.6. With regard to product content, method of use, warnings, expiry date, storage conditions and the legal class of the product, the packaging, approved label, instructions for use and the Company's current official product page shall be taken as basis.
ARTICLE 13 — POINT SYSTEM
13.1. Product and commission calculations may be carried out on the basis of the point units described in the Compensation Plan.
13.2. Product Points and Wallet Points:
a. are not Turkish lira or foreign currency,
b. are not electronic money, crypto assets, securities or investment instruments,
c. do not provide interest or value appreciation,
ç. cannot be used as a means of payment outside the Company,
d. cannot be freely bought or sold,
e. do not represent a specific and guaranteed cash value.
13.3. The product point of an order is recorded on the order items as a point snapshot at the moment the order is confirmed. Even if the future point value of the product changes, the point value of a past order shall not be changed retroactively; corrections required by obvious accounting error and legislation are reserved.
13.4. Where a commission is displayed in a different currency, the conversion method, exchange rate source, date and any deductions shall be explained in the Compensation Plan.
13.5. Pending points are not the Member's confirmed receivable. In the event of cancellation, return, chargeback, fraud, duplicate account, non-compliance with legislation or calculation error, they may be deleted or corrected.
13.6. The conversion of confirmed earnings into cash payment is subject to KYC, tax documents, bank account verification, minimum payment threshold, payment schedule and legal deductions.
13.7. Transfers of points or balances between Members are closed unless separately opened in writing. The transfer feature may be put into effect only after the necessary assessments regarding payment services and electronic money legislation have been completed.
ARTICLE 14 — BASIC PRINCIPLES OF THE COMPENSATION PLAN
14.1. The Member does not earn any fee, commission or bonus solely for registering new persons into the system.
14.2. The Compensation Plan is based on the following principles:
a. actual product sales,
b. verifiable consumer demand,
c. fully paid orders,
ç. transactions not cancelled or returned,
d. legally compliant promotion,
e. completion by the Member of the required identity and tax verifications,
f. fulfilment of the objective sales and team conditions in the Compensation Plan.
14.3. The total of commissions, bonuses and similar benefits to be distributed by the Company, together with benefits arising from new direct seller participation, are subject to the annual limits set out in applicable legislation. The Company may adjust the rates prospectively in order to comply with these limits.
14.4. The Compensation Plan may include different items such as sales bonus, customer referral commission, team sales commission, career incentive or similar. For each item, the following shall be clearly stated in the Compensation Plan:
• the sale from which it arises,
• the calculation base,
• the rate,
• the depth limit,
• the activity condition,
• the time of confirmation,
• the cancellation and offset condition.
14.5. Personal product purchases do not, by themselves, provide any income guarantee or career guarantee. The Member cannot be forced to build unnecessary stock in order to earn commission or to direct others to build stock.
14.6. Where an activity condition is applied, this condition cannot be interpreted as mandatory monthly personal purchase. The Company allows activity to be achieved through actual customer sales and/or legally compliant sales volume.
14.7. Career titles are success levels defined within the Company; they are not a profession, academic title, investment rating or financial guarantee conferred by a public authority.
ARTICLE 15 — INCOME STATEMENTS AND PROHIBITION OF EARNINGS GUARANTEES
15.1. The Company does not provide any Member with a guarantee of specific income, fixed earnings, investment return, financial freedom, rapid wealth or cost-free passive income.
15.2. The Member may not make unrealistic or unverifiable statements to potential Members or customers, such as:
• "you will definitely earn",
• "a guaranteed monthly income of this amount",
• "money without working",
• "you will recover your investment in a short time",
• "you earn just by finding members",
• "risk-free earnings",
• "lifetime income".
15.3. Where an income example is shared, the example must be presented in a manner that is real, current, does not mislead as to typical results, explains the gross/net distinction and does not disregard expenses, taxes, returns and the duration of activity.
15.4. The Member may not use their own earnings screen, personal bank transactions, or images of cars, holidays or lifestyle in a way that creates the impression of a typical and guaranteed result.
15.5. The weight of the Compensation Plan cannot be shifted away from product sales towards person registration. Pyramid selling, chain schemes, chain money collection or similar prohibited structures cannot be established.
ARTICLE 16 — FORMATION, PENDING PERIOD AND CONFIRMATION OF COMMISSION
16.1. A commission arising from an eligible order is initially recorded as pending earnings.
16.2. Pending earnings are not confirmed until the thirty-day withdrawal period applicable to direct sales, delivery, payment, fraud, chargeback and return checks have been completed. The Company may envisage a longer risk period depending on the product and payment method.
16.3. In the calculation of commission, the following are taken as basis:
a. the payment status of the order,
b. the delivery status,
c. the return or withdrawal status,
ç. the point at the time of the order,
d. the sponsor relationship at the time of the transaction,
e. the Compensation Plan version at the time of the transaction,
f. the Member's compliance and activity status.
16.4. The confirmation of commission does not eliminate the consumer's statutory rights that may subsequently be exercised, such as defect, warranty or other legal rights.
16.5. The Company may calculate earnings through daily, weekly or monthly batch processes. When technical processes are re-run, no duplicate commission shall be generated for the same order.
16.6. Where the Company identifies an accounting error, a correction is made by providing the Member with a transaction statement. The Member may submit an objection regarding the commission calculation to the support unit within [30] days from the time it appears in the account for the relevant transaction.
ARTICLE 17 — RETURN, CANCELLATION, CHARGEBACK AND COMMISSION REFUND
17.1. In the event that an order is fully or partially cancelled, returned, its price refunded, the card transaction charged back, or the transaction is determined to be fraudulent, the commissions linked to that order shall be cancelled to the same extent.
17.2. If the cancelled commission has not yet been confirmed, the pending earnings shall be deleted. If the commission has already been paid:
a. it is offset against the existing wallet balance,
b. it is deducted from subsequent earnings,
c. where necessary, its refund is requested from the Member.
17.3. The Member cannot attempt to protect their commission by preventing a return, dissuading the consumer from exercising the right of withdrawal, opening product packaging without the consumer's consent, or providing the consumer with an incorrect return address.
17.4. Where the reason for the return arises from the Member's incorrect product claims, unauthorized health claims, pressure selling, fake orders or other defective conduct, the Company's direct damages may be recourse-claimed from the Member. The consumer's mandatory rights are not affected by this.
17.5. Before making any new payment to a Member with a negative balance, the debt may be offset. Offset records are notified to the Member in the Member panel or by permanent data storage.
ARTICLE 18 — PAYMENT, TAX AND BANK INFORMATION
18.1. Confirmed commissions are paid in the payment periods specified in the Compensation Plan to the verified bank account registered in the Member's name.
18.2. An IBAN belonging to another person, an anonymous payment instrument, an unverifiable wallet or a payment method contrary to legislation cannot be used.
18.3. The Member is responsible for following up on any tax liability, document order, declarations, social security and other financial obligations that may arise depending on the scope of their activity.
18.4. The Company may make withholding, tax, duty, bank charges or other legal deductions where required by legislation. Deductions are shown in the payment statement.
18.5. Where a tax number, invoice, self-employment receipt, expense slip or another document is required, payment may be held until the required document is submitted.
18.6. The balance in the Member's account is not a bank deposit; it is not subject to deposit insurance and does not accrue interest.
18.7. Through their own panel, between the 21st and 31st of each month, the Member sends a request stating that they wish to withdraw an amount of their choosing from the confirmed balance in their account. Between the 5th and 10th of the following month, the requested amount is sent to the Member's IBAN.
18.8. Through their own panel, between the 21st and 31st of each month, the Member may transfer an amount of their choosing from the confirmed balance in their account to another Member. An Expense Slip is issued for the transferred amount.
18.9. Through their own panel, the Member may pay for an order they have placed from the confirmed balance in their account. An Expense Slip is issued for the amount spent on the purchase.
ARTICLE 19 — PROMOTION OF PRODUCTS AND HEALTH CLAIMS
19.1. The Member may use only promotional content approved in writing by the Company and in accordance with the product's current licence/approval/notification status.
19.2. The Member cannot unilaterally change the legal nature of the products. A product is promoted only in accordance with its approved status. No unauthorized transition can be made between food, food supplement, tea, cosmetic, medical device, biocide product or any other product class.

19.8. Serious adverse effects, allergic reactions or safety complaints associated with product use are notified by the Member to the Company within twenty-four hours at the latest. The Member does not make a medical assessment; in emergencies, they direct the consumer to a health institution.
19.9. In the event that content previously approved by the Company is subsequently found to be contrary to legislation, the Member removes the content immediately upon notification. A statement known to be clearly unlawful cannot be reproduced by the Member even if it appears in Company content.

26.6. The Company's customer or Member data may be used solely for the performance of the Agreement and for activities in compliance with legislation. Upon termination of the Agreement, the Company-originated personal data in the Member's possession shall be securely deleted or returned to the Company.
ARTICLE 27 — IDENTITY VERIFICATION, ACCOUNT SECURITY AND KYC
27.1. Prior to registration and payment, the Member verifies their identity, age, telephone, e-mail, address, bank account and, where necessary, tax information.
27.2. For the purposes of anti-fraud and account security, the Company may use measured methods such as two-factor authentication, one-time codes, identity documents, liveness checks or similar. Personal data processing processes are explained in the KVKK documents.

30.1. The Company may designate mandatory compliance trainings on product safety, consumer rights, advertising, health claims, KVKK and the Compensation Plan.

30.3. The Member may be unable to promote certain products, or commission payments may be temporarily held, until they complete mandatory trainings required by legislation or product safety.
30.4. Completion of training does not mean that the Member has acquired professional authority in the fields of health, law or finance.

ARTICLE 32 — AUDIT, INSPECTION AND REQUEST FOR INFORMATION
32.1. Where there is reasonable suspicion of a breach, the Company may inspect the Member's transactions relating to the system and promotional activities.
32.2. The Member may be asked to provide order verification, customer confirmation, advertising screenshots, payment documents, delivery information, tax documents or an explanation regarding the breach.
32.3. During the inspection, risky orders, commissions or certain account features may be temporarily held. The measure shall be applied proportionately to the risk of breach.
32.4. The Member shall cooperate with the inspection without unnecessarily disclosing personal data or third-party secrets.

35.2. Changes that significantly affect the Member's economic situation shall, as a rule, be notified at least [15] days before entering into force, via permanent data storage. Cases requiring immediate compliance with legislation are reserved.
35.3. Changes cannot retroactively eliminate earnings confirmed before the date of the change.
35.4. If the Member does not accept the change, they may terminate the Agreement without penalty. Termination does not prevent the payment of previously confirmed earnings.
35.5. Presenting the new version solely as a mandatory approval at account login shall not cause the Member to lose previously confirmed receivables. Acceptance of the current agreement may be required in order to continue new activity and new commission formation.
ARTICLE 36 — TECHNICAL SYSTEM, INTERRUPTIONS AND RECORDS
36.1. The Company takes reasonable technical and administrative measures for the system to operate securely and continuously; however, temporary interruptions may occur due to maintenance, internet outages, payment institutions, cargo, cyber-attacks or force majeure.

36.3. The Company may store the agreement version, date-time, IP address, device/browser information, checkbox record and document summary for lawful evidentiary and audit purposes.
36.4. The Company's records are not conclusive and exclusive evidence; lawful electronic records constitute rebuttable evidence.

37.4. Limitations on loss of profit or indirect damages shall not apply in cases of intent, gross negligence, bodily harm, personal data breach, consumer rights and liabilities that cannot be limited by law.
37.5. The Member's failure to earn income does not, by itself, give rise to the Company's liability, since the system does not guarantee any specific earnings.
ARTICLE 38 — FORCE MAJEURE
38.1. Natural disaster, war, terrorism, epidemic, decision of a public authority, import/export restriction, widespread infrastructure interruption, cyber-attack, strike, logistical obstacle or similar events beyond the reasonable control of a Party may be considered force majeure.
38.2. The Party affected by force majeure shall notify the other Party within a reasonable time and make the necessary efforts to mitigate the effects.

ARTICLE 43 — SEVERABILITY AND NON-WAIVER
43.1. The invalidity or unenforceability of one provision of the Agreement shall not affect the validity of the other provisions.
43.2. The failure to exercise a right in a particular instance shall not imply future waiver of that right.
43.3. The invalid provision shall be supplemented by the valid regulation closest to the economic purpose of the Parties and to mandatory legislation.
ARTICLE 44 — TERM AND EFFECTIVENESS
44.1. This Agreement enters into force upon the Member's electronic approval and the Company's acceptance of membership and is of indefinite duration.
