PURPOSE OF THE POLICY This Policy has been prepared in order to inform visitors about the personal data processing activities carried out through cookies, local storage, pixels, SDKs and similar technologies used on the naturzen.net website, mobile application and related digital channels, and to explain the valid preference/explicit consent mechanism where necessary. This Policy should be read together with the Naturzen KVKK Disclosure Text and Privacy Notice. 2. A cookie is a small data file that a website stores in the browser or on the device during a visit. Cookies may be used for maintaining the session, preserving the basket, remembering language/currency preferences, security, performance analysis and, where permitted, advertising purposes. Similar technologies may include: • Local storage and session storage, • Pixels and web beacons, • Mobile application SDKs, • Device or advertising identifiers, • Tag management systems, • Server-side event and measurement identifiers, • Link redirection and referral association records. Even if these technologies do not directly identify a person by name and surname, they may constitute personal data when associated with an IP, device identifier or online identifiers. 4. TYPES OF COOKIES 4.1. By storage period Session cookies: Deleted when the browser session ends. Persistent cookies: Remain on the device for a specific period or until deleted by the user. 4.2. By party First-party cookies: Placed by the naturzen.net domain. Third-party cookies: Placed by the domains of analytics, payment, security, video, advertising or other service providers. 4.3. By purpose 1. Strictly necessary cookies, 2. Functional/preference cookies, 3. Performance and analytics cookies, 4. Advertising and marketing cookies, 5. Social media and embedded content cookies, 6. Security and anti-fraud technologies. 5. LEGAL GROUNDS 5.1. Strictly necessary cookies A cookie may be used without explicit consent on the basis of an appropriate processing condition in Article 5 of the KVKK if: • it is used for the provision of electronic communication, or • it is strictly necessary for the provision of the information society service explicitly requested by the user. Examples: • secure session, • identity verification, • basket, • payment security, • load balancing, • saving the cookie preference, • attack and bot prevention, • contract approval record. "Improving the site experience" or "commercial benefit" alone does not make a cookie strictly necessary. 5.2. Non-mandatory cookies Where there is no other appropriate processing condition in Articles 5 and 6 of the KVKK, explicit consent is obtained for the use of functional, performance-analytics, advertising/marketing or social media cookies. Explicit consent: • must be given by an active choice, • must not be based on a pre-ticked box, • must not be assumed by continuing to use the site, • must not be made a mandatory condition of the service, • must be selectable on a category basis, • must be easily revocable. 6. COOKIE MANAGEMENT PANEL On the first visit, the following options must be presented to the user at the same layer and with similar visibility: • Accept all • Reject all • Manage preferences 6.1. The "Reject all" option must not be harder to access, paler, smaller or hidden behind an additional screen than the "Accept all" option. 6.2. Non-mandatory cookies must be off by default. 6.3. The user must be able to give separate consent to functional, analytics and advertising cookies. 6.4. Before preferences are given, no non-mandatory tag, pixel, SDK or server-side advertising event shall be triggered. 6.5. The user's choice may be recorded with the date, time, policy version, preference categories and limited technical proof information. 6.6. Cookie preferences must be changeable via the "Cookie Preferences" link accessible from every page. 6.7. Withdrawing consent must be as easy as giving it. 6.8. The preference may be renewed after [6 months] or when there is a substantial change in the cookie inventory. The period must be finalised with a risk and regulatory assessment. 7. PURPOSES OF USE AT NATURZEN 7.1. Secure session and account management • Maintaining the session, • Recognising the logged-in user, • Enforcing role and access authorization, • Two-factor authentication, • Reducing the risk of account takeover. 7.2. Basket and order • Preserving the basket, • Executing the order steps, • Using country, language and currency preferences, • Securely executing the payment and withdrawal form flow. 7.3. Referral association • Determining with which valid direct seller link the user arrived, • Matching the order with the relevant direct seller number, • Verifying commission and consumer information records, • Preventing referral manipulation. The referral cookie must be clearly explained to the user, and the identity of the relevant direct seller must be shown before the order. The user must be able to check with which direct seller the order is associated. The legal ground to be used for referral association and whether the cookie is strictly necessary must be assessed according to the concrete flow. If it is used for mere marketing attribution or cross-site tracking, explicit consent may be required. 7.4. Preferences • Language, • Display currency, • Region, • Accessibility, • Interface preferences. When the user explicitly requests the service, a limited cookie that fulfils only this preference may rely on an appropriate legal ground; broader profiling cannot be carried out. 7.5. Performance and analytics • Visit and page performance, • Error and crash analysis, • Statistical measurement of usage flows, • Product and content performance, • Technical improvement. Analytics cookies requiring explicit consent are not activated without consent. Where possible, IP masking, short retention, data minimisation and cookieless measurement are preferred. 7.6. Advertising and marketing • Interest-based advertising, • Retargeting, • Campaign conversion measurement, • Cross-platform advertising matching, • Lookalike audience creation. For these activities, no advertising cookie, pixel or SDK is activated without the user's active consent. Marketing cookie consent does not substitute for e-mail/SMS commercial communication consent. 7.7. Embedded content and social media Video, map, social media feed or sharing tools may place third-party cookies. Non-mandatory embedded content must be displayed with a privacy-protective placeholder until the user consents to the relevant category or actively opens the content. 8. COOKIE INVENTORY The following table must be filled with live scanning results. 8.1. Strictly necessary cookies Cookie/technology Provider Domain First/third party Purpose Legal ground Duration Transfer abroad {{necessary_cookie_1}} {{provider}} {{domain}} {{party}} {{purpose}} {{legal_basis}} {{duration}} {{transfer}} {{necessary_cookie_2}} {{provider}} {{domain}} {{party}} {{purpose}} {{legal_basis}} {{duration}} {{transfer}} 8.2. Functional cookies Cookie/technology Provider Domain Purpose Default Duration Is consent required? Transfer abroad {{functional_cookie_1}} {{provider}} {{domain}} {{purpose}} Off {{duration}} {{yes_no}} {{transfer}} 8.3. Performance and analytics cookies Cookie/technology Provider Domain Purpose Default Duration Is consent required? Transfer abroad {{analytics_cookie_1}} {{provider}} {{domain}} {{purpose}} Off {{duration}} Yes / {{basis}} {{transfer}} 8.4. Advertising and marketing cookies Cookie/technology Provider Domain Purpose Default Duration Is consent required? Transfer abroad {{marketing_cookie_1}} {{provider}} {{domain}} {{purpose}} Off {{duration}} Yes {{transfer}} 8.5. Social media and embedded content Cookie/technology Provider Content Purpose Default Duration Transfer abroad {{embed_cookie_1}} {{provider}} {{content}} {{purpose}} Off {{duration}} {{transfer}} 9. CONTROL OF PLANNED TECHNICAL PROVIDERS The technical master plan envisages the following infrastructures: • Cloudflare: CDN, WAF, Turnstile and R2, • Supabase: database and identity verification, • Render.com: application hosting, • Resend: transactional e-mails, • Brevo: marketing e-mails, • LarkSuite: internal notifications, • virtual POS: payment. Not every one of these providers automatically places cookies. Which service leaves a cookie, pixel or local storage record in the browser in the live system must be determined by technical scanning. Cloudflare security cookies may be strictly necessary solely for security and bot prevention. The cookie and transfer-abroad effects of Turnstile, payment iframes, maps, videos or third-party widgets must be assessed separately. 10. TRANSFER ABROAD If the third-party cookie or SDK provider is located abroad or the data is accessed from abroad, Article 9 of the KVKK applies. The transfer must rely on a valid mechanism such as: • an adequacy decision, • a standard contract, • binding corporate rules, • an undertaking approved by the Board, • the incidental transfer conditions in the law. Even if the user's cookie consent qualifies as explicit consent for data processing, it does not automatically substitute for the transfer mechanism required for regular transfer abroad. The legal ground for transfer and the mechanism on a provider basis must be shown in the cookie inventory. 11. CHANGING COOKIE PREFERENCES The user may change their preferences: • via the {{cookie_settings_url}} link, • via the "Cookie Preferences" option at the bottom of the page, • via browser settings. Deleting all cookies from the browser may also delete the saved cookie preference and cause the panel to be shown again. Blocking mandatory cookies may cause basic functions such as login, basket, security or payment to fail. Rejecting non-mandatory cookies must not prevent the basic shopping and membership service. 12. BROWSER SETTINGS Cookies can be viewed, deleted or blocked in most browsers. Browser settings are made on a device and browser basis. Blocking from browser settings may not substitute for the category-based choice in Naturzen's own preference panel. The user may need to manage both mechanisms. If "Do Not Track" or Global Privacy Control signals are supported, the system should take these preferences into account to the extent possible. 13. MOBILE APPLICATION TECHNOLOGIES In the mobile application, SDKs, app instance identifiers, device identifiers or secure storage may be used instead of cookies. In-app analytics, crash reporting, notification and advertising SDKs must be explained in this Policy or in a separate mobile privacy notice with regard to: • data category, • provider, • purpose, • duration, • transfer abroad, • consent or legal ground. The mobile advertising identifier must not be used for personalised advertising without the user's consent. 14. RULES SPECIFIC TO THE REFERRAL COOKIE 14.1. The name, duration and last-click/first-click model of the referral cookie must be clearly stated. 14.2. Recommended draft: • Cookie name: naturzen_ref • Purpose: Association of the valid direct seller referral with the registration/order • Duration: [30 days — to be verified with the business model and proportionality] • Party: First party • Data: Direct seller number or irreversible referral key • Sensitive data: Not included • Third-party sharing: Limited for the commission and consumer information process • Legal ground: Contract/legitimate interest or explicit consent according to the concrete flow 14.3. The referral cookie must not make a hidden sponsor change without the user's knowledge. The name/number of the direct seller to be associated must be shown before registration and order. 14.4. Cookie manipulation, affiliate injection without the user's request and changing another member's referral by technical means must be prevented. 14.5. If the user subsequently clicks on a different valid referral link, which record will be taken as basis must be clearly regulated in the membership terms. 15. RIGHTS OF THE DATA SUBJECT Where personal data is processed through cookies, the data subject may exercise their rights under Article 11 of the KVKK. Application methods are explained in the Naturzen KVKK Disclosure Text and Privacy Notice. 16. POLICY UPDATES Before a new cookie, provider or purpose is added: 1. The cookie inventory is updated, 2. The legal ground is determined, 3. A consent category is added if necessary, 4. The transfer-abroad mechanism is established, 5. The policy version and change date are updated. A new advertising or analytics tag must not be put live merely by the technical team adding code; it must pass through the legal and data protection approval flow. 17. For a product not in stock, the Buyer is informed without delay and the amount collected is refunded within the legal period. A different product is not sent without the Buyer's explicit consent. 10.4. In the event of non-delivery due to an incorrect or incomplete address, the Buyer is contacted. The reasonable cost arising for re-shipment is assessed according to fault and legislation. 10.5. If there is visible damage at the time of delivery, it is recommended that the Buyer create a carrier record. The absence of a report does not automatically eliminate statutory defect rights. ARTICLE 11 — RIGHT OF WITHDRAWAL: REFERRAL-LINKED DISTANCE DIRECT SALE This article applies in the DISTANCE_DIRECT_SALE regime. 11.1. The Buyer may withdraw without giving any reason and without paying any penalty within 30 days from the delivery of the goods by themselves or by a third party designated by them. 11.2. ARTICLE 12 — RIGHT OF WITHDRAWAL: STANDARD DISTANCE SALE This article applies in the STANDARD_DISTANCE_SALE regime. 12.1. Within the legal period from the date on which the withdrawal notice reaches the Seller, as a rule within 14 days at the latest, the Seller refunds the payments collected and required to be refunded by legislation, in accordance with the payment instrument, in a single transaction and free of charge. 12.5. The Seller may, in cases permitted by legislation, defer the refund until it receives the product or the Buyer proves that they have sent the product. 12.6. Unless the Seller offers to collect the product itself, the Buyer sends the product within the legal period from the withdrawal notice, as a rule within 14 days at the latest. 12.7. If the preliminary information has not been duly provided, the Buyer benefits from the extended right of withdrawal envisaged in the Regulation on Distance Contracts. The sample form is not mandatory; a statement clearly showing the withdrawal decision is sufficient. 13.2. In an online notice, a confirmation containing the date, time and tracking number is sent immediately. 13.3. The burden of proof that the right of withdrawal has been exercised in due time lies with the Buyer. It is recommended that the Buyer keep records. ARTICLE 14 — RETURN METHOD Return address: 19 Mayıs Mah. Gazi Cad. No: 67/3 İLKADIM / SAMSUN Envisaged return carrier: {{return_carrier}} Return code method: {{return_code_method}} Return cost: {{return_cost_bearer}} 14.1. The product is sent, if possible, with its order number, accessories, gifts and promotions. 14.2. The absence of a copy of the invoice does not eliminate the consumer's mandatory right. 14.3. When the carrier specified in the preliminary information is used and in cases where legislation prohibits charging the consumer, no return cost is collected from the Buyer. 14.4. If the return carrier has no branch in the Buyer's location, the Seller offers an appropriate method for the product to be collected free of charge. 14.5. In a partial return, the product price, VAT, campaign discount, points and, if any, delivery cost are recalculated in accordance with legislation and in an auditable manner. ARTICLE 15 — EXCEPTIONS TO THE RIGHT OF WITHDRAWAL 15.1. Unless otherwise agreed by the Parties and where the legal conditions are met for the concrete product, the right of withdrawal may not be exercised for the following products: a. Products prepared in line with the Buyer's requests or personal needs. b. Products that deteriorate quickly or whose expiry date may pass. c. Products whose protective packaging, tape, seal or package has been opened after delivery and whose return is not suitable for health/hygiene reasons. ç. Products that are mixed with other products after delivery and cannot be separated by their nature. d. Computer consumables whose protective element has been opened. e. Periodicals such as newspapers and magazines, excluding subscriptions. f. Services performed instantly in electronic form or intangible products delivered instantly. g. Services whose performance has begun with the Buyer's consent before the withdrawal period has expired. ğ. Products for which installation by the seller/authorized service is envisaged in the manual and which have been installed. h. Other applicable distance sales exceptions. 15.2. A food supplement, tea, patch/band or cosmetic product cannot be deemed non-returnable automatically merely because of its category. For the health and hygiene exception, the protective element must have been opened after delivery and the return must be genuinely unsuitable for health/hygiene reasons. 15.3. The product-based exception is clearly shown in the order table. 15.4. The withdrawal exception does not eliminate the rights relating to defective goods. ARTICLE 16 — ANCILLARY CONTRACTS AND CAMPAIGN BENEFITS 16.1. In the event of withdrawal, the relevant credit, insurance, subscription or other ancillary contracts terminate in the manner envisaged by law. No cost, compensation or penalty shall be collected from the Buyer. 16.2. Coupons, gifts, product points or direct seller commissions linked to the order may be subject to cancellation or reverse entry in proportion to the return. 16.3. The reverse recording of the commission does not mean that an additional amount is collected from the Buyer. ARTICLE 17 — DEFECTIVE GOODS 17.1. In the event that the product does not conform to the contract, label, promotion or objective characteristics, the Buyer may exercise their rights arising from Law No. 6502. 17.2. Where legal conditions exist, the Buyer may choose one of the following rights: • rescission of the contract with refund of the price, • reduction of the price, • free repair, • replacement with a defect-free equivalent. 17.3. The expiry of the withdrawal period does not terminate the rights relating to defective goods. 17.4. For a wrong, incomplete, damaged or unsafe product, the Buyer must contact the Seller without delay. ARTICLE 18 — PRODUCT SAFETY AND ADVERSE EFFECT 18.1. The Buyer takes into account the product label, instructions for use, warnings and storage conditions. 18.2. In the event of a serious allergic reaction or urgent health risk, the Buyer must apply to an appropriate health institution and stop using the product. 18.3. A product safety notification made to the Company is not a medical diagnosis or treatment service. 18.4. In the event of a product recall or safety measure, the Seller informs the Buyer through the registered communication channels. ARTICLE 19 — REFERRAL LINK AND DIRECT SELLER BENEFIT 19.1. In a referral-linked order, the Buyer sees the name/number of the relevant direct seller before order confirmation. 19.2. The relevant direct seller may obtain a benefit if the order is not cancelled/returned and the conditions of the Compensation Plan are met. 19.3. In Naturzen's Turkey model, every Member who has completed the age of eighteen and is eligible under direct sales legislation may be allocated a unique member/direct seller number and personal referral link, without any product purchase condition. 2.3. If the Member may obtain a benefit from sales made through the referral link, they are legally an independent direct seller and must additionally accept the Independent Direct Seller Agreement. 2.4. Persons under the age of eighteen, persons lacking legal capacity and persons prohibited by legislation cannot be registered as direct sellers. No referral or commission account is created for them. 2.5. A person wishing to purchase products may shop as a guest/customer without any membership or direct selling condition. ARTICLE 3 — SUBJECT OF THE TERMS These Terms regulate: • opening and using an account, • free membership, • member number, • referral link, • sponsor association, • role-based prices and campaigns, • Advantageous Product Baskets, • display of product points, • account security, • prohibited use, • account closure. ARTICLE 4 — FREE NATURE OF MEMBERSHIP 4.1. Participation in the Naturzen account and direct sales system is free of charge. 4.2. No membership fee, registration fee, renewal fee, panel fee, training fee, product-free package, mandatory subscription, deposit or promissory note shall be requested from the Member in order to join the system, obtain a referral link, refer other persons or remain in the system. 4.3. The Member's failure to purchase any product does not, by itself, prevent the creation of the account or the allocation of the referral link. 4.4. Naturzen may, to the extent permitted by legislation, set actual sales volume and objective eligibility conditions for certain types of commission. These conditions cannot be applied in a manner that forces unnecessary personal stock. ARTICLE 5 — CONDITIONS FOR OPENING AN ACCOUNT 5.1. The Member provides accurate, current and personal information. 5.2. For a real person account, at minimum: • name and surname, • date of birth, • e-mail, • phone, • country, • password, • identity verification information, where necessary, may be requested. 5.3. An account cannot be opened on behalf of another person, with a fake identity or with another person's contact/bank information. 5.6. An application with risk of age, duplicate account, fraud or prohibited person may be rejected with reasons. ARTICLE 6 — MEMBER NUMBER AND REFERRAL LINK 6.1. An eligible member may be given a unique number containing a country code and sequential number. Example: TR0000123. 6.2. The referral link is not conditional on product purchase. 6.3. The existence of a referral link does not provide any income guarantee. Registering a new person alone does not generate commission. 6.4. Actual product sales made through the referral may give rise to a benefit for the relevant Member under the Compensation Plan and legislative conditions. 6.5. The Member may not use the referral link: • in bot traffic, • in fake accounts, • in unauthorized advertising, • in hidden redirection from the user, • in changing another member's link, • in domain name or application imitation. 6.6. The period of use of the referral link and the association method are explained in the Cookie Policy and system rules. 6.7. Before the order, the name/number of the direct seller associated with the customer is shown. ARTICLE 7 — SPONSOR RECORD 7.1. The Member may check the sponsor information before completing registration. 7.3. A claim of technical error must be submitted within [7] days of the registration date. 7.4. A sponsor change is not an ordinary right. It may be made for error, abuse, the sponsor's departure or regulatory compliance. 7.5. The change has no retroactive effect. In previous orders, the sponsor snapshot at the time of the transaction is preserved. 7.6. The sponsor cannot be changed for team transfer, career or commission manipulation. ARTICLE 8 — ACCOUNT TYPES AND ROLES Naturzen may use the following roles: 8.1. Guest: A person who examines products without opening an account or, to the extent permitted, shops. 8.2. Member account: An account used for order tracking, address and invoice management; it has no commission activity. 8.3. Entrepreneur / independent direct seller account: An account opened free of charge, containing a referral link and member number, which may give rise to a benefit from eligible sales. 8.4. The Company's shareholders, managers and relatives specified in legislation cannot be included in the Compensation Plan as direct sellers. ARTICLE 9 — DEFINITION OF THE ENTREPRENEUR PRODUCT BASKET 9.1. The ENTREPRENEUR PRODUCT BASKET is the sale of more than one real Naturzen product together under specific campaign conditions and at a discount. 9.2. The expressions "basket", "set" or "advantageous product group" do not mean a membership package, entry fee, investment or purchase of income. 9.3. For each basket, the following are shown before purchase: • product names, • quantities, • individual current prices, • separate total price, • promotional price, • discount amount/rate, • campaign period, • product points, • delivery, withdrawal and return conditions. 9.4. The basket cannot contain a virtual membership fee, undefined training, licence or items that are not of a nature sellable to the consumer. ARTICLE 10 — OPTIONAL NATURE OF THE ENTREPRENEUR PRODUCT BASKET 10.1. The Member is not obliged to purchase the ENTREPRENEUR PRODUCT BASKET. 10.2. Not purchasing: • does not prevent membership, • does not close the referral link, • does not prevent referring other Members, • does not terminate the account, • does not create a renewal debt. 10.3. The ENTREPRENEUR PRODUCT BASKET does not determine the level of the newly joined Member within the system. 10.4. The purchase of the basket does not guarantee a specific income, commission, career or investment return. 10.5. The Member may purchase individual products separately subject to stock and sales conditions. ARTICLE 11 — ADVANTAGEOUS PRICE AND SUBSEQUENT DISCOUNTS 11.1. A purchaser of the basket may be offered an additional product discount for a specific period. 11.2. The following aspects of this advantage are explained on the campaign page: • start and end date, • products covered, • discount rate, • number of uses, • country and currency, • whether it can be combined with coupons, • its status in the event of return. 11.3. The discount right is separate from the membership right. When it expires, the Member's account or referral link is not closed. 11.4. The discount does not turn into automatic paid renewal. 11.5. The campaign may be changed prospectively due to stock depletion or legislation. The price of a concluded order does not change retroactively. ARTICLE 12 — PROHIBITION OF AUTOMATIC ORDER AND SUBSCRIPTION 12.1. Naturzen does not initiate a monthly product order or automatic payment without the Member's separate explicit request. 12.2. If a recurring order feature is offered, the following are regulated by a separate agreement: • frequency, • amount or calculation method, • product, • cancellation method, • notification period. 12.3. A pre-ticked subscription box cannot be used. 12.4. Subscription cancellation does not terminate membership or the referral link. ARTICLE 13 — PRODUCT POINT AND ADVANTAGE POINTS 13.1. Points may be assigned to products for use in sales and Compensation Plan calculations. 13.2. Points: • are not money, • are not electronic money, • are not crypto assets, • are not investment instruments, • do not accrue interest, • cannot be used as a payment instrument outside Naturzen. 13.3. The product point at the time of the order is recorded as point_snapshot. 13.4. Points linked to a returned or cancelled product are reverse-recorded. 13.5. If there are promotional points, their validity period and conditions of use are clearly stated. 13.6. Point transfer between Members cannot be made available without an assessment under payment services and electronic money legislation. ARTICLE 14 — PRICES AND CURRENCY 14.1. In Turkey, the binding sales price is shown in Turkish lira including taxes. 14.2. USD, EUR, AZN or other currencies may be used for display purposes only. The exact collection currency is shown before payment. 14.3. Role-based customer/member pricing is applied only with transparent and non-discriminatory rules. 14.4. Fake reference prices, discounts not actually applied or vague campaigns shall not be used. 14.5. The Member cannot promise prices or discounts not available on the official channel. ARTICLE 15 — ORDER AND SALES DOCUMENTS 15.1. For each product order, order-specific: • Preliminary Information Form, • Distance Sales Agreement, • direct sales information content, where required, are presented. 15.2. In referral-linked product sales that give rise to a benefit for a direct seller, the 30-day direct sales withdrawal regime applies. 15.3. In standard store orders that do not give rise to a benefit for any direct seller, the general distance sales withdrawal regime applies. 15.4. Acceptance of the Membership Terms does not mean collective acceptance of all future product sales. ARTICLE 16 — RETURN AND RECALCULATION OF THE BASKET DISCOUNT 16.1. In the ENTREPRENEUR PRODUCT BASKET, withdrawal and return are assessed according to the legal status of each product. 16.2. If the entire basket is returned, the discount, points and commissions linked to the order are cancelled. 16.3. In a partial return, the discount may be recalculated depending on whether the remaining products satisfy the campaign condition; however, no penalty may be collected from the consumer and mandatory rights cannot be restricted. 16.4. The recalculation method must be clearly shown before the order. 16.5. In health/hygiene products whose protective packaging has been opened, the withdrawal exception applies only where concrete legal conditions exist. 16.6. Rights relating to defective products are reserved in any event. ARTICLE 17 — REFERRAL AND EARNINGS EXPLANATION 17.1. Every eligible adult Member may receive a referral link; no product purchase condition is required. 17.2. Opening a new account through the referral link does not, by itself, create commission. 17.3. The source of commission is the actual product sale specified in the Compensation Plan. 17.4. Naturzen does not guarantee rapid wealth, fixed income or investment return. 17.5. The Member cannot make promises of: • definite earnings, • passive income guarantee, • rapid financial freedom, • earning solely by finding members, • risk-free income. 17.6. Earnings results may vary by person, sales volume, return, expense, tax and the Compensation Plan. ARTICLE 18 — PRODUCT PROMOTION AND HEALTH CLAIMS 18.1. The Member uses only the approved product information of Naturzen. 18.2. ARTICLE 4 — DEFINITIONS In this Agreement: Advantageous Product Basket / Advantageous Product Package: an optional product group in which certain Naturzen products are offered for sale together at a promotional or discounted price, with their contents and individual sales prices clearly indicated; it is not a condition for entry into membership, remaining in the system, obtaining a referral link or determining the direct seller level; Direct Seller Number: the unique number allocated by the Company to each Member and required to be stated in sales intermediation activities; Referral Link: the Member-specific internet link or code that enables a potential customer or new member to be associated with the Member; Sponsor: the existing Member to whom a person's registration is linked; Customer: the consumer who purchases products from the Company for non-commercial or non-professional purposes; Compensation Plan: the current plan, annexed to this Agreement, explaining commission, bonus, career, incentive, point, activity, depth, payment and offset conditions; Product Point: the internal measurement value assigned by the Company to a product for use in sales volume and Compensation Plan calculations; Wallet Point / Earned Point: the accounting unit used within the system to track confirmed or pending commissions; Point Snapshot: the product point value recorded on the order item at the moment the order is confirmed and which cannot subsequently be changed retroactively with respect to the order; Pending Earnings: commission not yet confirmed because payment, delivery, withdrawal, return, chargeback, fraud and compliance checks have not been completed; Confirmed Earnings: commission that meets the Compensation Plan and this Agreement conditions and has passed return/cancellation and offset checks; KYC: the process of verifying the Member's identity, age, contact, bank account, tax and, where necessary, address information; Permanent Data Storage: e-mail, short message, in-account document centre and similar media that ensure information is stored unaltered for a period appropriate to its purpose and can be accessed exactly as stored; Official Channel: the Company's website, mobile application, verified social media accounts, sales pages authorized in writing and other channels notified by the Company; Company Policies: the Code of Ethics, Marketing and Advertising Guide, Product Claims Guide, Compensation Plan, Return Policy, Advantageous Product Basket Terms, Brand Usage Guide and other supplementary rules put into effect by the Company. ARTICLE 5 — CONDITIONS FOR ADMISSION TO MEMBERSHIP 5.1. A real person Member must: a. have completed the age of eighteen, b. have legal capacity to act, c. provide accurate and verifiable identity and contact information, ç. accept this Agreement on their own behalf, d. not be in a situation that prevents them from being a direct seller under applicable legislation, e. complete the Company's identity verification and anti-fraud checks. 5.2. The Company's shareholders and managers, together with their spouses and first-degree blood or affinity relatives, cannot be included in the Compensation Plan to the extent prohibited by legislation. 5.3. The Company's employees may benefit only from separate programmes such as staff discounts or consumer accounts, without being included in the direct sales compensation plan. 5.4. In the case of legal entity memberships, the legal entity must be duly incorporated, active and have representation authority; it must submit the necessary trade registry, tax and signature documents. The real person acting on behalf of the legal entity is obliged to document their representation authority. 5.5. More than one active direct seller account cannot be opened in the name of the same real person. It is prohibited for the same person to open accounts on behalf of others, control accounts, or allow the use of their identity or bank account. 5.6. Receipt of a membership application does not constitute automatic acceptance. The Company may reject applications with regard to which there is suspicion of age, identity, connection with prohibited persons, duplicate account, fraud, forged documents, sanctions risk or non-compliance with legislation, stating its reasons. ARTICLE 6 — FREE PARTICIPATION AND PROHIBITION OF MANDATORY PACKAGES 6.1. Participation in the Naturzen direct sales system is free of charge. 6.2. No membership fee, entry fee, registration fee, renewal fee, training fee, digital panel fee, catalogue fee, mandatory deposit, package fee not containing products, mandatory monthly subscription, promissory note or similar financial obligation shall be requested from the Member in order to join the system, obtain a referral link, remain in the system, renew their agreement or maintain the basic direct selling right. 6.3. The Member's failure to purchase any product or Advantageous Product Basket shall not, by itself, constitute an obstacle to: a. the opening of their membership account, b. the allocation of a direct seller number, c. obtaining a referral link, ç. directing new Members to the system, d. remaining in the system. 6.4. In the event that the Member is told "you must buy a package", "you cannot build a team without buying a package", "a referral link will not be opened without buying a package", "monthly product purchase is mandatory" or similar statements, they must immediately notify the Company. 6.5. The Company may, to the extent permitted by legislation, set conditions of actual product sales volume, customer orders, team sales volume or training/compliance for certain types of commission. However, such conditions cannot be applied in a manner that forces the Member to purchase unwanted products for stock purposes. ARTICLE 7 — ADVANTAGEOUS PRODUCT BASKETS 7.1. Advantageous Product Baskets are optional promotional sales consisting solely of real products. They are not a membership fee, entry package, investment package or a means of purchasing earnings. 7.2. On the sales page of each Advantageous Product Basket, at least the following information shall be displayed: a. the name and quantity of each product in the basket, b. the current individual sales prices of the products, c. the total sales price of the basket, ç. the scope and duration of the discount applied, d. product points, e. delivery, withdrawal and return conditions, f. where applicable, the duration, scope and expiry conditions of the promotional discount provided on subsequent purchases. 7.3. The purchase of an Advantageous Product Basket: • does not automatically promote the Member to a higher direct seller level, • does not create a bonus solely in return for registering new Members, • is not a condition for the Member's account ownership or referral link, • does not create a repeated or automatic purchase obligation, • does not require the Member to stock products they do not want. 7.4. The Company may offer a product discount for a specific period to a Member who purchases an Advantageous Product Basket. Such a discount is a clearly defined sales promotion; it does not determine the Member's legal status, the continuation of membership or the right to commission based solely on person registration. 7.5. The products contained in the Advantageous Product Basket are recorded as separate product items for points and commission purposes. Point values at the time of the order are stored in the order record. 7.6. When purchasing an Advantageous Product Basket, the Member approves a separate Preliminary Information Form and, depending on the nature of the sale, the Distance Sales Agreement. This Agreement alone does not substitute for a product sales contract. ARTICLE 8 — MEMBER NUMBER AND REFERRAL LINK 8.1. Each Member whose membership is approved is allocated a direct seller number, which may consist of a country code and a unique sequential number. Example format: TR0000123. 8.2. The referral link is personal. The Member may not: a. use their link on misleading domain names, b. imitate another Member's code, c. manipulate redirection cookies or technical records, ç. bind a customer to their own referral without the customer's knowledge, d. generate fake traffic, bots, automatic clicks or incentivized fake registrations. 8.3. Sharing the referral link does not provide any earnings guarantee. Commission may arise only upon actual sale, an appropriate sponsor relationship, payment, delivery, completion of the withdrawal/return period and fulfilment of the other conditions in the Compensation Plan. 8.4. In every promotion and sales process intermediated as direct sales, the Member's direct seller number must be visible to the consumer. 8.5. The Member may use the referral link only in countries opened for activity by the Company and in accordance with the relevant Country Annex. ARTICLE 9 — SPONSORSHIP RECORD AND SPONSOR CHANGE 9.1. The sponsor of a new Member is determined on the basis of the valid referral link/code used at the time of registration and the system records. 9.2. The Member is obliged to check the sponsor information displayed on the screen before completing the registration process. Claims of obvious technical error must be submitted to the support unit within [7] days of the registration date. 9.3. A sponsor change is not an ordinary right. A change may be made for reasons such as erroneous registration, personal data security, abuse, regulatory compliance, the sponsor leaving the system or other reasons objectively accepted by the Company. 9.4. A sponsor change shall not have retroactive effect. In order and commission records created before the change, the sponsor information at the time of the transaction shall be preserved. Appropriate transactions after the change shall be associated with the new sponsor. 9.5. A sponsor change cannot be used to create unearned earnings, transfer teams, or artificially alter depth or career conditions. 9.6. Each sponsor change is recorded in an auditable manner, together with the date, reason, previous sponsor, new sponsor and the authorized person carrying out the transaction. ARTICLE 10 — LEGAL STATUS OF THE INDEPENDENT DIRECT SELLER 10.1. The Member carries out their activity independently. No employee-employer, work under instructions, fixed salary, working hours, workplace attachment or social security relationship is established between the Member and the Company. 10.2. The Member may not: a. sign contracts on behalf of the Company, b. place the Company under any obligation, c. collect payments on behalf of the Company, ç. make commitments on behalf of the Company regarding price, warranty or compensation, d. present themselves as a Company employee, manager, official representative, health professional or authorized public official. 10.3. The Member determines the place and time of their activity themselves; there is no obligation to carry out activity or achieve a specific sales quota. 10.4. In the event that the Member acquires the status of merchant, craftsman, self-employed professional, taxpayer or any other legal status due to their regular and commercial-scale activity, the relevant registration, notification and payment obligations belong to the Member. 10.5. The Company's liability towards consumers arising from legislation is reserved. The independence provision in this Article does not eliminate the joint and several liability existing under law towards consumers. ARTICLE 11 — SALES MODEL AND LIMITS OF AUTHORITY 11.1. The main sales model is that the order is placed by the consumer through the Company's official website or another Official Channel; the sales price is collected by the Company or an authorized payment institution; the invoice is issued by the Company and the product is shipped by the Company. 11.2. In this model, the Member is an independent direct seller who informs the consumer and intermediates in the Company's sale. Without the Company's written permission, the Member may not: a. collect the product price or a deposit from the consumer, b. issue invoices/receipts in their own name or in the Company's name, c. arrange instalments, deferred payment or indebtedness on behalf of the Company, ç. alter the product content, warranty, delivery or return conditions determined by the Company, d. create an order without the consumer's explicit knowledge and consent. 11.3. Retail sales from stock or physical direct sales activities permitted in writing by the Company are subject to a separately published sales procedure and the rules of the consumer information form. 11.4. During a sale or sales intermediation to a consumer, the Member clearly states their identity, that they are an independent direct seller, their direct seller number and the Company's title. 11.5. Without the Company's written permission, the Member may not list products on third-party marketplaces, auction sites, bulk sales platforms, or physical sales points such as pharmacies or stores. ARTICLE 12 — PRICES, DISCOUNTS AND PRODUCT INFORMATION 12.1. The Company displays product prices, promotions, taxes and delivery costs on the Official Channel prior to the order. 12.2. Multi-currency display may be for informational purposes. In sales in Turkey, the exact currency to be collected from the consumer, the total amount including tax and the exchange rate information are shown at the payment step. 12.3. The Member may not promise prices, discounts, free products, warranties or refunds that are not available on the Official Channel. 12.4. The Member may not use fictitious reference prices, fake discounts, "last product", "today only", "definite opportunity" or similar expressions that put the consumer under pressure. 12.5. The "recommended sales price" provided by the Company carries the function envisaged in legislation. In cases where the Member is permitted in writing to make sales on their own behalf, the mandatory provisions of competition law are reserved. 12.6. With regard to product content, method of use, warnings, expiry date, storage conditions and the legal class of the product, the packaging, approved label, instructions for use and the Company's current official product page shall be taken as basis. ARTICLE 13 — POINT SYSTEM 13.1. Product and commission calculations may be carried out on the basis of the point units described in the Compensation Plan. 13.2. Product Points and Wallet Points: a. are not Turkish lira or foreign currency, b. are not electronic money, crypto assets, securities or investment instruments, c. do not provide interest or value appreciation, ç. cannot be used as a means of payment outside the Company, d. cannot be freely bought or sold, e. do not represent a specific and guaranteed cash value. 13.3. The product point of an order is recorded on the order items as a point snapshot at the moment the order is confirmed. Even if the future point value of the product changes, the point value of a past order shall not be changed retroactively; corrections required by obvious accounting error and legislation are reserved. 13.4. Where a commission is displayed in a different currency, the conversion method, exchange rate source, date and any deductions shall be explained in the Compensation Plan. 13.5. Pending points are not the Member's confirmed receivable. In the event of cancellation, return, chargeback, fraud, duplicate account, non-compliance with legislation or calculation error, they may be deleted or corrected. 13.6. The conversion of confirmed earnings into cash payment is subject to KYC, tax documents, bank account verification, minimum payment threshold, payment schedule and legal deductions. 13.7. Transfers of points or balances between Members are closed unless separately opened in writing. The transfer feature may be put into effect only after the necessary assessments regarding payment services and electronic money legislation have been completed. ARTICLE 14 — BASIC PRINCIPLES OF THE COMPENSATION PLAN 14.1. The Member does not earn any fee, commission or bonus solely for registering new persons into the system. 14.2. The Compensation Plan is based on the following principles: a. actual product sales, b. verifiable consumer demand, c. fully paid orders, ç. transactions not cancelled or returned, d. legally compliant promotion, e. completion by the Member of the required identity and tax verifications, f. fulfilment of the objective sales and team conditions in the Compensation Plan. 14.3. The total of commissions, bonuses and similar benefits to be distributed by the Company, together with benefits arising from new direct seller participation, are subject to the annual limits set out in applicable legislation. The Company may adjust the rates prospectively in order to comply with these limits. 14.4. The Compensation Plan may include different items such as sales bonus, customer referral commission, team sales commission, career incentive or similar. For each item, the following shall be clearly stated in the Compensation Plan: • the sale from which it arises, • the calculation base, • the rate, • the depth limit, • the activity condition, • the time of confirmation, • the cancellation and offset condition. 14.5. Personal product purchases do not, by themselves, provide any income guarantee or career guarantee. The Member cannot be forced to build unnecessary stock in order to earn commission or to direct others to build stock. 14.6. Where an activity condition is applied, this condition cannot be interpreted as mandatory monthly personal purchase. The Company allows activity to be achieved through actual customer sales and/or legally compliant sales volume. 14.7. Career titles are success levels defined within the Company; they are not a profession, academic title, investment rating or financial guarantee conferred by a public authority. ARTICLE 15 — INCOME STATEMENTS AND PROHIBITION OF EARNINGS GUARANTEES 15.1. The Company does not provide any Member with a guarantee of specific income, fixed earnings, investment return, financial freedom, rapid wealth or cost-free passive income. 15.2. The Member may not make unrealistic or unverifiable statements to potential Members or customers, such as: • "you will definitely earn", • "a guaranteed monthly income of this amount", • "money without working", • "you will recover your investment in a short time", • "you earn just by finding members", • "risk-free earnings", • "lifetime income". 15.3. Where an income example is shared, the example must be presented in a manner that is real, current, does not mislead as to typical results, explains the gross/net distinction and does not disregard expenses, taxes, returns and the duration of activity. 15.4. The Member may not use their own earnings screen, personal bank transactions, or images of cars, holidays or lifestyle in a way that creates the impression of a typical and guaranteed result. 15.5. The weight of the Compensation Plan cannot be shifted away from product sales towards person registration. Pyramid selling, chain schemes, chain money collection or similar prohibited structures cannot be established. ARTICLE 16 — FORMATION, PENDING PERIOD AND CONFIRMATION OF COMMISSION 16.1. A commission arising from an eligible order is initially recorded as pending earnings. 16.2. Pending earnings are not confirmed until the thirty-day withdrawal period applicable to direct sales, delivery, payment, fraud, chargeback and return checks have been completed. The Company may envisage a longer risk period depending on the product and payment method. 16.3. In the calculation of commission, the following are taken as basis: a. the payment status of the order, b. the delivery status, c. the return or withdrawal status, ç. the point at the time of the order, d. the sponsor relationship at the time of the transaction, e. the Compensation Plan version at the time of the transaction, f. the Member's compliance and activity status. 16.4. The confirmation of commission does not eliminate the consumer's statutory rights that may subsequently be exercised, such as defect, warranty or other legal rights. 16.5. The Company may calculate earnings through daily, weekly or monthly batch processes. When technical processes are re-run, no duplicate commission shall be generated for the same order. 16.6. Where the Company identifies an accounting error, a correction is made by providing the Member with a transaction statement. The Member may submit an objection regarding the commission calculation to the support unit within [30] days from the time it appears in the account for the relevant transaction. ARTICLE 17 — RETURN, CANCELLATION, CHARGEBACK AND COMMISSION REFUND 17.1. In the event that an order is fully or partially cancelled, returned, its price refunded, the card transaction charged back, or the transaction is determined to be fraudulent, the commissions linked to that order shall be cancelled to the same extent. 17.2. If the cancelled commission has not yet been confirmed, the pending earnings shall be deleted. If the commission has already been paid: a. it is offset against the existing wallet balance, b. it is deducted from subsequent earnings, c. where necessary, its refund is requested from the Member. 17.3. The Member cannot attempt to protect their commission by preventing a return, dissuading the consumer from exercising the right of withdrawal, opening product packaging without the consumer's consent, or providing the consumer with an incorrect return address. 17.4. Where the reason for the return arises from the Member's incorrect product claims, unauthorized health claims, pressure selling, fake orders or other defective conduct, the Company's direct damages may be recourse-claimed from the Member. The consumer's mandatory rights are not affected by this. 17.5. Before making any new payment to a Member with a negative balance, the debt may be offset. Offset records are notified to the Member in the Member panel or by permanent data storage. ARTICLE 18 — PAYMENT, TAX AND BANK INFORMATION 18.1. Confirmed commissions are paid in the payment periods specified in the Compensation Plan to the verified bank account registered in the Member's name. 18.2. An IBAN belonging to another person, an anonymous payment instrument, an unverifiable wallet or a payment method contrary to legislation cannot be used. 18.3. The Member is responsible for following up on any tax liability, document order, declarations, social security and other financial obligations that may arise depending on the scope of their activity. 18.4. The Company may make withholding, tax, duty, bank charges or other legal deductions where required by legislation. Deductions are shown in the payment statement. 18.5. Where a tax number, invoice, self-employment receipt, expense slip or another document is required, payment may be held until the required document is submitted. 18.6. The balance in the Member's account is not a bank deposit; it is not subject to deposit insurance and does not accrue interest. 18.7. Through their own panel, between the 21st and 31st of each month, the Member sends a request stating that they wish to withdraw an amount of their choosing from the confirmed balance in their account. Between the 5th and 10th of the following month, the requested amount is sent to the Member's IBAN. 18.8. Through their own panel, between the 21st and 31st of each month, the Member may transfer an amount of their choosing from the confirmed balance in their account to another Member. An Expense Slip is issued for the transferred amount. 18.9. Through their own panel, the Member may pay for an order they have placed from the confirmed balance in their account. An Expense Slip is issued for the amount spent on the purchase. ARTICLE 19 — PROMOTION OF PRODUCTS AND HEALTH CLAIMS 19.1. The Member may use only promotional content approved in writing by the Company and in accordance with the product's current licence/approval/notification status. 19.2. The Member cannot unilaterally change the legal nature of the products. A product is promoted only in accordance with its approved status. No unauthorized transition can be made between food, food supplement, tea, cosmetic, medical device, biocide product or any other product class. 19.3. The following and similar claims that are not authorized by the competent authority or not included in the approved product information are prohibited: • diagnoses, prevents, cures or treats disease, • has a painkiller or medicinal effect, • penetrates under the skin or passes directly into the blood, • provides definite absorption, • definitely strengthens immunity, • causes weight loss or weight gain, • enhances sexual performance, • treats sleep disorders, • eliminates the need for a doctor or medication, • has no side effects, • is safe for everyone, • is scientifically proven with certainty. 19.4. The Member cannot use unauthorized testimonials that create the impression of the opinion of a doctor, pharmacist, dietitian or other health professional. The image, title or recommendation of health professionals cannot be made the subject of advertising in a manner contrary to legislation. 19.5. Before-after images, user comments, laboratory results, certificates, clinical studies or academic publications cannot be used in a selective, misleading or excessive manner. 19.6. Food supplements cannot be promoted as if they substitute for normal nutrition. The Member cannot recommend that the consumer stop taking medication, change treatment or refrain from consulting a health professional. 19.7. The Member cannot alter the product packaging, label, serial/lot number, expiry date, instructions for use or safety warning; they cannot sell the product by dividing it, repackaging it or interfering with its contents. 19.8. Serious adverse effects, allergic reactions or safety complaints associated with product use are notified by the Member to the Company within twenty-four hours at the latest. The Member does not make a medical assessment; in emergencies, they direct the consumer to a health institution. 19.9. In the event that content previously approved by the Company is subsequently found to be contrary to legislation, the Member removes the content immediately upon notification. A statement known to be clearly unlawful cannot be reproduced by the Member even if it appears in Company content. ARTICLE 20 — ADVERTISING, SOCIAL MEDIA AND COMMERCIAL COMMUNICATION 20.1. Any sharing by the Member regarding products or the compensation plan may be of the nature of commercial communication. Its advertising nature is clearly indicated in a way that the consumer can understand at first glance. 20.2. A domain name, application name, social media username or paid advertising keyword containing the brand name cannot be registered or used without the Company's written permission. 20.7. At least the following statement must be visible on an independent promotional page created by the Member: "This page is managed by an independent Naturzen direct seller; it is not the official corporate account of Naturzen Global Medikal Ticaret Limited Şirketi." 20.8. The Company may request the removal of content contrary to law or the Brand Usage Guide. The Member removes the content immediately after receiving the notification, and in any event within [24] hours at the latest. ARTICLE 21 — INFORMATION OF THE CONSUMER 21.1. The delivery period of the goods subject to direct sales cannot be longer than the period shown in the relevant information form and, in any event, the maximum period in legislation. 21.5. If the consumer's withdrawal notice is addressed to the Company, the number and identity information of the Member who intermediated the sale are recorded in the system so that the transaction can be correctly matched. 21.6. The Member cannot prevent the consumer from applying directly to the Company or force them to submit their complaint only through the Member. ARTICLE 22 — CONSUMER'S RIGHT OF WITHDRAWAL AND RETURN 22.1. In sales of goods subject to direct sales, the consumer may withdraw without giving any reason and without paying any penalty within thirty days from delivery, subject to more favourable provisions in legislation. 22.2. Exceptions to the right of withdrawal apply only in the cases listed in mandatory legislation. In order for an exception to apply to products unsuitable for return due to health and hygiene, the protective packaging, tape, seal or package must have been opened after delivery and the other legal conditions must be met. 22.3. The Member cannot state on their own initiative that the consumer does not have the right of withdrawal. In case of doubt, they direct the consumer to the Company's returns unit. 22.4. In the event of incomplete or incorrect information, the consumer's withdrawal period may be extended in accordance with legislation. 22.5. The price of the bought-back products, after deducting the benefits paid to the Member linked to those products, is refunded within the period in legislation, and at the latest within thirty days, from the arrival and inspection of the products at the Company. 23.5. The original packaging, serial/lot number, security tape and product integrity of the products must be preserved. Where there is a broader right in favour of the consumer under law, that right shall apply. 23.6. Product returns after the first thirty days are assessed according to the purpose for which the product was purchased, whether the Member is a consumer, the sales channel, the nature of the product and the return policy in force. 23.7. Leaving membership: a. does not automatically eliminate earnings confirmed and legally payable before the date of leaving, b. does not terminate return and chargeback checks relating to pending orders, c. does not eliminate the confidentiality, intellectual property, data protection, offset and liability provisions. ARTICLE 24 — PROHIBITION OF STOCK LOADING AND ARTIFICIAL SALES 24.1. The Member must not stock products beyond actual demand in order to artificially satisfy a commission, activity or career condition, and must not direct others to stock. 24.2. ARTICLE 26 — PERSONAL DATA AND THE MEMBER'S DATA RESPONSIBILITY 26.1. The disclosure text is not a consent or explicit consent text. 26.2. For processing activities requiring explicit consent, a separate, specific and optional explicit consent mechanism is used, distinct from the disclosure. Commercial electronic communication consent cannot be combined with membership acceptance. 26.3. Setelah pesanan diterima, ringkasan pesanan, Formulir Informasi Awal dan Perjanjian Penjualan Jarak Jauh dikirim kepada konsumen melalui penyimpan data permanen seperti e-mail atau pusat dokumen dalam akun. 12.4. Perusahaan menyimpan versi formulir, ringkasan teks, tanggal-waktu, nomor pesanan, akun konsumen, nomor penjual langsung, alamat IP, informasi perangkat/browser dan catatan konfirmasi untuk tujuan pembuktian dan audit. 13. 14. PENGGUNAAN HAK PENARIKAN 14.1. 15. METODE PENGEMBALIAN DAN PENGANGKUT PENGEMBALIAN Alamat pengembalian: 19 Mayıs Mah. Gazi Cad.
